Please read these Terms and Conditions carefully before using Autharize's payment processing services. These Terms govern your use of our Services and constitute a binding legal agreement.

1. Acceptance of Terms

By accessing or using Autharize's payment processing services, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our Services. These Terms constitute a legally binding agreement between you ("Merchant" or "you") and Autharize Inc. ("Autharize," "we," "us," or "our").

2. Merchant Account

To use our payment processing services, you must apply for and be approved for a merchant account. You agree to: • Provide accurate, complete, and current information in your application • Maintain the accuracy of your account information • Keep your account credentials confidential and not share them with unautharized parties • Notify us immediately of any unautharized use of your account • Accept responsibility for all activities that occur under your account We reserve the right to approve or deny any merchant account application at our sole discretion.

3. Payment Processing

By using our payment processing services, you agree to: • Comply with all applicable card network rules (Visa, Mastercard, American Express, Discover) • Process only legitimate transactions for goods and services you are autharized to sell • Maintain a chargeback ratio below the thresholds set by card networks • Not process transactions for prohibited business types or illegal activities • Provide accurate transaction data and maintain proper records • Comply with all applicable laws and regulations, including PCI-DSS requirements

4. Fees and Payments

You agree to pay all fees associated with your merchant account as outlined in your merchant agreement, including: • Processing fees (percentage of transaction amount plus per-transaction fees) • Monthly account fees (if applicable) • Chargeback fees • Early termination fees (if applicable) • Any other fees disclosed in your merchant agreement Fees are subject to change with 30 days written notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.

5. Chargebacks and Disputes

You are responsible for all chargebacks, reversals, and disputes related to transactions processed through your merchant account. You agree to: • Maintain adequate records to respond to chargebacks • Respond to chargeback notifications within the timeframes specified • Maintain a chargeback ratio below 1% of total transactions • Pay all chargeback fees and reversed transaction amounts Excessive chargebacks may result in account suspension or termination and may result in funds being held in reserve.

6. Prohibited Activities

You may not use our Services for any illegal or unautharized purpose, including but not limited to: • Processing fraudulent transactions • Money laundering or terrorist financing • Selling illegal goods or services • Violating any applicable laws or regulations • Infringing on intellectual property rights • Engaging in deceptive or misleading business practices Violation of these prohibitions may result in immediate account termination and reporting to appropriate authorities.

7. Termination

Either party may terminate the merchant account agreement with 30 days written notice. We may terminate or suspend your account immediately if: • You violate these Terms or your merchant agreement • Your chargeback ratio exceeds acceptable thresholds • We suspect fraudulent activity • You become insolvent or file for bankruptcy • Required by card networks or regulatory authorities Upon termination, all outstanding fees become immediately due and payable.

8. Limitation of Liability

To the maximum extent permitted by law, Autharize shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our Services. Our total liability for any claim arising from these Terms or your use of our Services shall not exceed the total fees paid by you to Autharize in the three months preceding the claim.
